Vlavera Professional License v2 — Bloem

These terms apply to purchases of Bloem.
1. Definitions
- Vlavera means ASADI LABS LLC («ԱՍԱԴԻ ԼԱԲՍ» ՍՊԸ), a limited liability company established in the Republic of Armenia, registered at Yerevan, Shengavit, G. Nzhdeh St., Building 8, Apt 40, 0006, Armenia. Vlavera is the studio brand of ASADI LABS LLC. Contact: hello@vlavera.com.
- You means the person or organisation that buys this license. "Professional" describes this license, not your business: you do not need to be an agency or a freelancer.
- Product means the Bloem source-code template made available to you under this license through the Bloem repository on GitHub: its code, design, components, configuration schema, documentation, and included example media, as published from time to time. It does not include Third-Party Components.
- Demo Imagery means the AI-generated demonstration photography included in the Product (
docs/ASSETS.md,THIRD-PARTY-NOTICES.md). It is separate from Third-Party Components because no third party licenses it to you — section 8 sets its own terms. - Reusable System means the Product as a reusable template or system — its code, design system, components, configuration model, and documentation — apart from any End Client's content.
- Third-Party Components means software, fonts, and other material owned by others, including those listed in
THIRD-PARTY-NOTICES.md. - End Client means a person or organisation for whom you build a Project. You may be the End Client yourself — for example, a restaurant owner buying this license for its own website.
- Project means a website you build with the Product: one codebase, deployed as one project. Localised routes and language versions of that website are part of the same Project.
- Delivered Project means a Project as built from the Product, including the changes you make for its End Client.
- Purchase Terms means the Bloem Purchase Terms shown with the product before payment, which cover price, payment, delivery, support, updates, refunds, and tax.
2. License grant
Subject to these terms and to payment of the license fee stated in the Purchase Terms, Vlavera grants you a non-exclusive license to use the Product to create any number of Projects, for yourself or for your End Clients. For each Project you may:
- use, copy, and modify the Product, including its code, layout, design, branding, and content;
- build and deploy it, including development, preview, staging, and production environments for that Project;
- charge the End Client for your work;
- keep the source code in a private repository; and
- hand over the Delivered Project to its End Client under section 3.
3. Handover to Clients
- You may hand over a Delivered Project, including its source code, to its End Client.
- The End Client may keep, host, maintain, and modify the Delivered Project indefinitely, including in a private repository.
- The End Client may have its own staff, or developers it engages, work on the Delivered Project for those purposes.
- Handover gives the End Client rights in that Delivered Project only. The End Client may not reuse the Reusable System for another project or redistribute it as a template, theme, or library.
- You may not hand over the Product itself — an unused or substantially unmodified copy — in place of a Delivered Project.
- Before you hand over the source code, you must give the End Client this license and ensure the End Client accepts the restrictions in sections 3.4, 5.2, and 7 that apply to the Delivered Project, so that they continue to apply after handover.
- If the End Client breaches those restrictions, its rights in the Delivered Project may be terminated for that breach after written notice and a reasonable period to put the breach right where it can be put right.
- If a Delivered Project was completed and handed over under a valid license, the End Client's right to keep, host, maintain, and modify that Delivered Project does not end automatically because you later breach this license, unless the End Client took part in that breach. The End Client never gains a right to reuse or redistribute the Reusable System.
4. Your employees and contractors
- Your employees and contractors may work on your Projects without separate seats.
- They do not get access to the Bloem repository through you, and may not use the Product for anything outside your Projects.
- Share the source code with them only through private access.
5. Attribution
- You are not required to give Vlavera public attribution. The website does not need to show a Vlavera credit, link, or logo.
- Keep the copyright and license notices that Vlavera supplies in the source files. They are not public attribution and never need to appear on the website.
6. What Vlavera keeps
- Vlavera retains the Product and the Reusable System, apart from Third-Party Components and Demo Imagery. This license is permission to use the Product under these terms; it is not a sale or transfer of ownership of Bloem.
- Your business content and an End Client's business content, brand assets, photography, and data are not claimed by this license.
- Code written specifically for a Project belongs to whoever created or commissioned it, and you and its End Client may use and maintain it within that Project indefinitely. Code copied from, adapted from, or substantially based on the Product or the Reusable System remains subject to this license.
7. What you may not do
You may not, and you may not allow anyone else to:
- sell, resell, sublicense, share, or redistribute the Product or the Reusable System as a template, theme, starter kit, library, or other reusable product, whether unchanged or modified;
- publish the Product, the Reusable System, or any source code containing them in a public repository or any other public location (serving a built Delivered Project to website visitors under section 2 is not publishing source code);
- list the Product, or anything derived from it, on a template or theme marketplace;
- extract the Product's code, design, or components into a reusable template, theme, system, or component library, including one that competes with Vlavera's products;
- give the source code to anyone except your employees and contractors under section 4, service providers that store, build, or host a Project for you under private access, and that Project's End Client under section 3;
- present the Product or the Reusable System as your own original reusable work; or
- share your access to the Bloem repository on GitHub, or add anyone else as a collaborator on it.
8. Demo Imagery
- The Demo Imagery is AI-generated. It is supplied "as is," as preview content, and this license does not warrant it: it is not warranted for production use.
- You may use the Demo Imagery to build, preview, and present a Project. You may not sublicense, redistribute, or otherwise make the Demo Imagery available as a standalone asset, stock image, or component separate from a Project built with the Product.
- Before a Project goes live as a public, commercial website, you must replace the Demo Imagery with media you hold the rights to use. This is a condition of this license, not a suggestion — a Delivered Project that still serves the Demo Imagery to the public has not satisfied section 3's handover requirements.

9. Third-Party Components
- Third-Party Components are licensed by their owners under their own terms, listed in
THIRD-PARTY-NOTICES.md. This license does not change those terms and grants no rights in them. - You are responsible for having the rights to any content, photography, and other media that you or an End Client add (
docs/ASSETS.md).
10. This license only
- This is a Professional License for Bloem only. It grants no rights in any other Vlavera product.
- You may not transfer or reassign this license — including an unused license or an unfinished Project under it — to another buyer or agency without Vlavera's written approval. Handing over a Delivered Project to its End Client under section 3 is not a transfer of this license.
11. Purchase, access, updates, and refunds
- Price, payment, delivery, support, updates, refunds, and tax are set out in the Purchase Terms shown with the product before payment.
- Your purchase includes access to the Bloem repository on GitHub and every future release published to it, including major versions and redesigns, on the terms stated in the Purchase Terms.
- If your order is refunded or successfully charged back, it no longer carries a valid Bloem license, and your access to the Bloem repository is removed. If the payment is later restored, the license and access may be restored. The protection in section 3.8 applies only to a Delivered Project built under a valid license.
12. Term, breach, and termination
- This license starts when your order is paid and continues unless it is terminated under this section or section 11.3.
- If you materially breach this license, Vlavera will give you written notice and 14 days to put the breach right where it can be put right.
- An uncured material breach terminates your license, and Vlavera may remove your access to the Bloem repository. Termination does not strip an End Client of the rights protected by section 3.8.
- On termination you must stop using the Product and the Reusable System, apart from an End Client's continuing rights under section 3.8.
13. Warranty and liability
- The Product is supplied "as is". Vlavera does not promise that it will operate uninterrupted or error-free, or that it is fit for a particular purpose. Section 8 states the Demo Imagery's own, narrower terms.
- Vlavera's and ASADI LABS LLC's total liability for all claims connected with this license is limited to the amount paid for that Bloem license on the order, excluding sales tax or VAT.
- Nothing in this license limits liability that applicable mandatory law does not allow to be limited.
14. Governing law
- This license is governed by the laws of the Republic of Armenia, and disputes are subject to the courts of Yerevan, Armenia.
- This does not remove mandatory consumer protections that may apply where you live.
